Terms of Delivery and Return

Delivery

  1. Product Access: Upon registration, customers will receive immediate access to our SaaS products under the FREEMIUM model. This allows free usage of the product for a specified trial period.
  2. Activation: Once the trial period concludes, customers will be notified to transition to a paid subscription plan. Continued use of the product will require activation of the chosen plan and provision of payment information.
  3. Account Management: Customers can manage their subscription, including plan upgrades or downgrades, through their account dashboard on our website.

Return and Cancellation

  1. Cancellation During Trial Period: Customers can cancel their subscription at any time during the trial period without incurring any charges. Access to the product will be terminated immediately upon cancellation.
  2. Post-Trial Cancellation: After the trial period, customers can cancel their subscription by contacting our support team or through their account dashboard. Cancellations will be effective at the end of the current billing cycle.
  3. Refunds: Enforma Technologies offers a refund policy for paid subscriptions under the following conditions:
    • Within 14 Days of Activation: If a customer is not satisfied with the product and cancels within 14 days of activating their paid subscription, a full refund will be issued.
    • After 14 Days of Activation: For cancellations after the initial 14 days, no refund will be issued.

Sales Agreement

This Sales Agreement (“Agreement”) is made and entered into as of [Effective Date] by and between Enforma Technologies (“Seller”) and [Customer Name] (“Buyer”).

1. Definitions

1.1. “Product” refers to the SaaS software package provided by the Seller.

1.2. “Effective Date” refers to the date this Agreement is executed by both parties.

1.3. “Subscription Plan” refers to the specific pricing and usage terms selected by the Buyer.

2. Scope of Agreement

2.1. The Seller agrees to provide, and the Buyer agrees to purchase, the Product as specified in the Subscription Plan.

2.2. This Agreement governs the terms and conditions of the sale and use of the Product.

3. Delivery of Product

3.1. Upon execution of this Agreement, the Seller will provide the Buyer with access to the Product under the terms of the Subscription Plan.

3.2. The Product will be delivered electronically, with login credentials and usage instructions provided via email.

4. Payment Terms

4.1. The Buyer agrees to pay the Seller the fees specified in the Subscription Plan.

4.2. Payments are due on the schedule outlined in the Subscription Plan (e.g., monthly, annually).

4.3. Failure to make timely payments may result in suspension or termination of access to the Product.

5. Term and Termination

5.1. This Agreement will commence on the Effective Date and will continue until terminated by either party.

5.2. Either party may terminate this Agreement with thirty (30) days written notice.

5.3. The Seller may terminate this Agreement immediately if the Buyer breaches any terms of this Agreement.

6. Licence and Use

6.1. The Seller grants the Buyer a non-exclusive, non-transferable licence to use the Product in accordance with the terms of the Subscription Plan.

6.2. The Buyer agrees not to resell, distribute, or create derivative works from the Product without the Seller’s express written permission.

7. Confidentiality

7.1. Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement.

7.2. This obligation will survive the termination of this Agreement.

8. Limitation of Liability

8.1. The Seller’s liability for any claims arising out of this Agreement is limited to the amount paid by the Buyer for the Product in the twelve (12) months preceding the claim.

8.2. The Seller is not liable for any indirect, incidental, or consequential damages.

9. Warranties and Disclaimers

9.1. The Seller warrants that the Product will perform substantially in accordance with the documentation provided.

9.2. Except as expressly provided, the Product is provided “as is” without warranty of any kind.

10. Governing Law

10.1. This Agreement will be governed by and construed in accordance with the laws of Turkey.

10.2. Any disputes arising under or in connection with this Agreement will be resolved in the courts of [Jurisdiction].

11. Entire Agreement

11.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.

11.2. Any amendments to this Agreement must be in writing and signed by both parties.
